Terms & Conditions

1. Acceptance of Terms

By engaging New Vision Concept (“NVC”, “we”, “us”, or “our”) for any service — whether through a signed proposal, verbal agreement, email confirmation, or payment — you (“Client”) agree to be bound by these Terms & Conditions in full. If you do not agree, you must not proceed with any engagement.

2. Services

New Vision Concept provides digital marketing, AI automation, web design, CRM configuration, paid advertising management, local SEO, chatbot setup, and related consulting services to service-based businesses across Canada.

Specific deliverables, timelines, and fees are outlined in the individual proposal or service agreement provided to each client. These Terms & Conditions apply to all engagements unless otherwise superseded in writing.

Ad Management Note: Agency management fees are separate from advertising spend (Meta, Google, etc.). NVC does not guarantee specific ad performance outcomes, as results depend on market conditions, platform algorithms, audience behaviour, and budget levels outside our direct control.

3. Client Obligations

To enable NVC to deliver services effectively, the Client agrees to:

  • Provide timely access to accounts, assets, credentials, and approvals as requested
  • Supply accurate business information, branding assets, and content where required
  • Designate a primary point of contact who has authority to approve deliverables
  • Respond to requests within 3 business days to avoid project delays
  • Ensure all provided content, images, and materials are legally owned or licensed

Project delays caused by the Client’s failure to provide required materials or approvals will not constitute a breach by NVC.

4. Payment Terms

All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Payment terms are as follows:

  • Project work: 50% deposit required before work begins; balance due upon delivery
  • Monthly retainers: Invoiced at the start of each billing cycle; due within 7 days
  • Ad spend: Billed directly to the client’s ad account or prepaid to NVC prior to campaign launch
  • Late payments: Accounts more than 14 days overdue may be subject to a 1.5% monthly interest charge and service suspension

All sales are final. Refunds are issued solely at NVC’s discretion and only where a deliverable was not provided as agreed.

5. Intellectual Property

Upon receipt of full payment, the Client owns all custom deliverables created specifically for them (websites, copy, graphics, automations). NVC retains ownership of all proprietary frameworks, templates, processes, and tools used in delivery.

NVC reserves the right to display completed work in its portfolio unless the Client requests otherwise in writing prior to project completion.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement — including but not limited to business strategies, client lists, pricing, login credentials, and internal processes.

This obligation survives termination of the engagement for a period of 2 years. Platform credentials provided to NVC will be deleted or returned within 30 days of engagement end.

7. Data & Privacy

NVC collects and processes client data in accordance with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA). Data collected through service delivery is used solely for the purposes of providing the contracted services.

NVC does not sell or share client data with third parties except where required to deliver the service (e.g., CRM platforms, ad networks) or as required by law. For full details, see our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NVC’s total liability to the Client for any claim arising from or related to these Terms or the services provided shall not exceed the total fees paid by the Client to NVC in the 3 months preceding the claim.

NVC is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, data loss, or business interruption.

9. Warranties & Disclaimers

NVC warrants that services will be performed with reasonable skill and care in accordance with industry standards. Beyond this, all services are provided “as is” without warranty of any kind.

NVC does not warrant specific marketing outcomes, search rankings, lead volumes, conversion rates, or revenue results. Digital marketing performance is influenced by factors beyond our control.

10. Termination

Either party may terminate a monthly retainer with 30 days’ written notice. Project-based agreements may be terminated by the Client at any time; however, all work completed to date will be invoiced and is payable.

NVC may terminate immediately if the Client engages in abusive conduct, fails to pay after 14 days of notice, or requests services that violate applicable law or platform policies.

11. Third-Party Tools & Platforms

Services may involve third-party platforms including but not limited to: GoHighLevel, Meta, Google, Vendasta, ManyChat, Framer, Supabase, Vercel, Hostinger, and WPForms. Each platform is governed by its own terms of service.

NVC is not responsible for changes in third-party platform features, pricing, availability, or policy enforcement that impact service delivery. The Client is responsible for maintaining their own platform accounts and agreeing to applicable platform terms.

12. Governing Law

These Terms & Conditions are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes not resolved by mutual agreement shall be submitted to the courts of British Columbia.

13. Changes to Terms

NVC reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email or through the NVC website. Continued use of services after notification constitutes acceptance of the updated terms.
